DJ Services Agreement

This DJ Services Agreement ("Agreement") is entered into between the Client listed below and Ryan Clark, performing as DJ KMBRK®. This Agreement outlines the terms and conditions for DJ and Master of Ceremonies (MC) services for the Client's event.

Scope of Services:

The DJ agrees to provide the following services for the Client's event:

Music selection and professional DJ performance for the duration of the event.
Professional sound system setup, operation, and breakdown.
Master of Ceremonies (MC) announcements and event coordination as needed.
Reasonable accommodation of guest song requests while respecting any music preferences or do-not-play lists provided by the Client.

Music Selection:

The DJ will make reasonable efforts to accommodate guest song requests during the event. However, the DJ reserves the right to decline requests that conflict with the Client’s music preferences, do-not-play list, venue policies, or that the DJ determines to be inappropriate for the event.

Performance Terms:

The DJ agrees to arrive at the venue at least one (1) hour prior to the start of the event for setup and sound check.
The DJ agrees to dress appropriately for the occasion.
The DJ will play music agreed upon with the Client in advance and will make reasonable efforts to accommodate song requests during the event.
The DJ reserves the right to take short breaks as needed but will ensure continuous music coverage during the agreed-upon performance time.
The Client agrees to provide the DJ with a safe and suitable space for setup and performance, as well as access to standard electrical outlets located near the DJ performance area.
The DJ will not be held responsible for any technical difficulties beyond their control, including but not limited to power outages, venue power limitations, equipment malfunctions, or venue restrictions.

Event Timing:

DJ performance hours are based on the event timeline specified in the invoice or estimate. If the event start time is delayed or the schedule runs behind, the contracted end time will remain the same unless additional time is approved by the Client and DJ and paid according to the additional performance time rate.

Additional Performance Time:

Additional performance time beyond the contracted hours may be requested by the Client and is subject to DJ availability. Additional time will be billed at the rate specified in the invoice or estimate.

Venue and Sound Restrictions:

The DJ is not responsible for any interruption, reduction, or early termination of performance caused by venue rules, venue staff instructions, sound ordinances, curfews, power limitations, or other venue imposed restrictions. Such circumstances shall not entitle the Client to a refund or reduction in fees.

Payment Terms:

The Client agrees to the payment and payment terms as specified in the attached invoice or estimate. A non-refundable deposit may be required to secure the event date. The remaining balance must be paid according to the terms outlined in the invoice.

Cancellation Policy:

The Client may cancel this Agreement at any time prior to the event. Upon cancellation, the Client will be entitled to a refund of any monies paid, except for the non-refundable deposit.

The DJ may cancel this Agreement due to emergency or unforeseen circumstances. If the DJ cancels, the DJ will make reasonable efforts to provide a suitable replacement DJ of similar professional standard, subject to the Client’s approval. If a replacement DJ cannot be provided or is not approved by the Client, the DJ will refund all monies previously paid by the Client, including the deposit.

Force Majeure:

The DJ shall not be liable for failure to perform due to circumstances beyond reasonable control including but not limited to acts of God, severe weather, venue closure, government restrictions, public emergencies, power outages, or other unforeseen events that make performance impossible or unsafe.

Liability:

The DJ shall not be liable for any damages or injuries incurred by the Client or guests during the event, except in cases of willful misconduct or negligence.

Equipment Protection:

The Client agrees that guests and venue staff will not handle or interfere with DJ equipment. The Client is responsible for any damage to DJ equipment caused by guests, venue staff, or event attendees during the event.

Dispute Resolution and Legal Fees:

In the event of a dispute arising out of this Contract that cannot be resolved by mutual agreement, the Parties agree to engage in mediation. If the matter cannot be resolved through mediation and legal action ensues, the successful party will be entitled to recover reasonable legal fees, including but not limited to attorneys’ fees.

Severability:

If any provision of this Agreement is deemed invalid or unenforceable in whole or in part, that provision shall be severed from the remainder of the Agreement and all other provisions shall continue in full force and effect.

Legal and Binding Agreement:

This Agreement is legal and binding between the Parties as stated above. This Agreement may be entered into and is legal and binding in the United States. The Parties each represent that they have the authority to enter into this Agreement.

Governing Law:

This agreement shall be governed by the laws of the State of Illinois.

Entire Agreement:

The Parties acknowledge and agree that this Agreement represents the entire agreement between the Parties. If the Parties wish to change, add, or modify any terms of this Agreement, such changes must be made in writing and signed by both Parties.
